These Terms and Conditions (“Terms”) govern the sale of goods by BestBatch (“Seller”) to its customers (“Buyer”). By placing an order with BestBatch, the Buyer agrees to these Terms, which shall form the entire agreement between the Seller and the Buyer.

1. Interpretation

• “Buyer” refers to the individual, firm, or company purchasing goods from BestBatch.
• “Seller” refers to BestBatch, its employees, or authorised agents.
• “Goods” means any products supplied by BestBatch, including chicken and meat.
• “Contract” refers to the agreement between the Seller and Buyer for the supply of Goods.
• “Place of Delivery” means the location agreed for the delivery of Goods.

References to statutes or legal provisions include subsequent amendments or re-enactments.

2. Basis of Sale

2.1 By placing an order, the Buyer acknowledges and accepts these Terms as binding.
2.2 These Terms supersede any Buyer terms unless explicitly agreed upon in writing by the Seller.
2.3 Variations to these Terms must be agreed upon in writing by the Seller.
2.4 The Seller reserves the right to correct errors in sales literature, price lists, or other documents without liability.

3. Orders and Pricing

3.1 Orders are only accepted upon written confirmation from the Seller.
3.2 All prices are subject to change without prior notice, reflecting market conditions.
3.3 A minimum order value of £[Insert Amount] applies.
3.4 The Seller reserves the right to cancel orders below the minimum value or if supply conditions change.
3.5 Quotations are valid for 14 days unless otherwise stated.

4. Payment Terms

4.1 For non-credit accounts, payment is due upon delivery or collection. Goods will not be released until payment is made in full.

5. Delivery

5.3 Risk in the Goods passes to the Buyer upon delivery to the agreed Place of Delivery.
5.4 Title to the Goods remains with the Seller until full payment is received.
5.5 Any claims for damaged or missing Goods must be reported within 24 hours of delivery.

6. Returns and Replacements

6.1 Due to the perishable nature of the Goods, the Seller does not accept returns unless the Goods are faulty or incorrect.
6.2 If Goods are faulty or incorrect, the Buyer must notify the Seller within 24 hours of delivery. The Seller will replace the Goods at no additional cost.
6.3 Refunds are only issued at the Seller’s discretion when a replacement is not feasible.

7. Liability

7.1 The Seller is not liable for any indirect or consequential losses, including loss of business or profit.
7.2 The Seller’s total liability is limited to the value of the Goods supplied under the Contract.
7.3 The Buyer is responsible for ensuring the proper storage and use of the Goods upon delivery.

8. Data Protection

8.1 The Seller processes personal data in accordance with its Privacy Policy and the UK GDPR.
8.2 The Buyer consents to the Seller sharing data with third parties, such as payment processors, where necessary for fulfilling the Contract.

9. Amendments

The Seller reserves the right to amend these Terms at any time. Updated Terms will be made available on the Seller’s website and shall apply to all subsequent transactions.

10. Jurisdiction

These Terms are governed by the laws of Scotland. Any disputes arising from these Terms or the Contract shall be subject to the exclusive jurisdiction of the Scottish courts.
